Confluence Genetics Acquires Benson Hill Assets, Set to Revolutionize Soybean Trait Development with AI and Proprietary Genetics

ST. LOUIS--(BUSINESS WIRE)--The United States Bankruptcy Court for the District of Delaware has approved the sale of Benson Hill's business assets to Confluence Genetics, LLC. Set to close at 11:59 p.m. tonight, this transaction marks a new beginning for the storied company as it emerges from Chapter 11 bankruptcy under new leadership and ownership, ready to lead in soybean trait development. "This is more than a financial reset; it’s a strategic reboot and a bright beginning," said Kim Hurst, a seasoned agribusiness professional and the newly appointed CEO of Confluence Genetics. "With our proprietary genetics, CropOS® technology platform, and state-of-the-art speed breeding facility, we will deliver high-value, differentiated quality trait soybeans." Confluence Genetics, now backed by a group of experienced agribusiness investors led by Expedition Ag Partners and S2G Investments, aims to scale its ultra-high protein soybean genetics for animal feed, expand its specialty food-grade portfolio, and reach new geographies. The company's acquisition includes over 350 issued or pending patents and its 2029 soybean class, which is currently being tested in 2025 field trials. These trials aim to produce soybeans with higher protein content, improved oil quality, and other genetic advancements that can benefit the entire agricultural value chain. Mike DeCamp, President and CEO of Expedition Ag Partners and the new Board Executive Chairman of Confluence Genetics, played a crucial role in the Debtor-In-Possession financing. He underscored the company’s potential for growth, saying, "Confluence Genetics has the right tools, talent, and technology to revolutionize soy innovation. We at Expedition Ag believe the company has a promising future as a nimble innovation engine that will deliver value from the farm gate to the end user. We are thrilled to support Confluence Genetics as it combines the ambitious spirit of a startup with the disciplined approach of a category leader." Headquartered at 1200 Research Boulevard in Creve Coeur, Missouri, Confluence Genetics will operate from this location, which houses its indoor speed breeding facility. The company will be staffed by an experienced team of approximately 60 employees. Confluence Genetics' move to the 39 North Ag Tech Innovation District, a thriving hub of researchers, startups, companies, and economic development players in St. Louis, further cements its position as a key player in the agtech ecosystem. The sale to Confluence Genetics is expected to significantly reduce costs, streamline operations, and transition the company to an asset-light licensing model. This move aligns with the company's goals of maximizing efficiency and innovation. More details about Confluence Genetics and its expanding portfolio of soybean genetics will be available soon on their website, www.confluence.ag. The closing of the sale follows the court's approval and the satisfaction of customary conditions, paving the way for a revitalized Confluence Genetics to make meaningful contributions to the agricultural industry.
